Introduction

This agreement outlines the terms of service for commissioning art from the artist (hereafter referred to as "Artist", who goes by the online alias of "eninabox"). All prices agreed upon are in US dollars (USD). It is the responsibility of the Client to read and understand these terms before placing an order. The Artist will also send a copy of these terms before accepting any commissions. By commissioning the Artist, the Client agrees to the following terms.

Scope of Work

The Artist agrees to provide illustration services, live2d model art, live2d rigging, and/or panoramic drawings (the "Commissioned Art") to the Client based on the specifications provided by the Client. The Client agrees to provide clear and detailed specifications for the Commissioned Art, including the expectations of delivery time and frequency of communication. The detailed specifications may change depending on the type of service, but should usually include a minimum of a flat-coloured reference image along with a short description. If a reference image cannot be provided the artist can work off of a description alone for an additional fee.

Artists will not accept AI-generated images or game character screenshots as reference images.

Timeline

The Artist will provide a timeline for the completion of the Commissioned Art. The Client acknowledges that this timeline is an estimate and that the actual completion date may vary. If the Client requests priority service, the Artist may offer priority commissions for an additional fee. Priority service is an incentive, not a requirement, for the artist to comply with. Having priority service does not necessarily mean that you will receive exclusive treatment. The artist will inform the client if priority service is not an option.

Revisions

The Artist will provide up to three (3) rounds of revisions for the Commissioned Art. Any additional revisions will be subject to additional fees as agreed upon by both parties. The client can choose to use these revisions at the drafting stage, work-in-progress stage, or the final rendering stage. The client can decide which stage they prefer to provide their revisions. However, revisions made during the work-in-progress stages and the final rendering stage will extend the estimated deadline for both non-priority and priority clients. Additional revisions can be purchased as quoted by the Artist.

Payment

The Client will pay the Artist the full agreed-upon amount for the Commissioned Art before the Artist begins work. The Client may discuss partial payment or a payment plan with the Artist, however, the Artist is under no obligation to agree to any payment plan proposed by the Client. Payment is done via Stripe invoice. The Cient may request a secondary payment processor, such as Paypal. However, an additional fee may be applied.

Ownership

The Artist retains all copyrights and ownership of the Commissioned Art. The Client is granted a limited license to use the Commissioned Art for personal use. For Live2d model art and illustrations, commercial use is included by default. For illustrations only, commercial use will cost an additional amount as agreed upon by both parties. The Artist retains the right to terminate the license at any time. The Client has no right to resell or redistribute Commissioned Art.

Termination

Either party may terminate this agreement at any time when the artist is actively working, by providing written notice to the other party. In the event of termination, the Client will only be refunded for the portions of the Commissioned Art that have not been completed. The amount of the refund will be determined at the Artist's discretion. When this agreement is terminated the Client holds no license over the produced work and cannot use any work-in-progress files for any personal or commercial purpose.

Confidentiality

If the Client requires confidentiality, an additional price can be negotiated. If the Artist accepts the negotiated price the Artist shall not disclose confidential information to any third party without the prior written consent of the Client.

Amendment

This agreement may be amended at any time by the Artist, the Client’s continued use of licenced work signifies agreement to current and future updated terms. The Artist will inform the Client directly if there is a significant change to the standing of a Client’s licence. The Client's first payment for the Commissioned Art will signify their agreement to these terms and conditions. The Client has been sent a copy of the agreement before the Artist accepts any payment. This agreement is attached under the invoice of the Client.
